Matt C. Cooper - Business & Construction Law Attorney, Colorado & Florida

Matt C. Cooper

Matt advises business owners on the legal and strategic decisions that matter most: buying or selling a company, restructuring ownership, raising capital, negotiating the contracts and leases a business depends on, and resolving disputes that threaten the company’s value or control. He has closed dozens of business acquisitions across Colorado and Florida, guiding deals ranging from Main Street purchases to eight-figure middle-market transactions, and serves as outside general counsel to closely held companies in both states.

His practice spans mergers and acquisitions, including SBA 7(a)-financed deals; entity formation, governance, and capital-raising structures, including private offerings; commercial real estate acquisitions and sales; commercial leasing and landlord-tenant matters, representing both landlords and tenants in negotiations, renewals, and disputes; construction contracts, mechanics liens, and payment disputes; and commercial contracts, trademark, and employment matters. When disputes cannot be avoided, Matt guides clients through complex commercial litigation and shareholder disputes, bringing a transactional lawyer’s understanding of what the fight is actually worth.

Matt’s practice is built on relationships. He represents privately held companies of all sizes, from owner-operated small businesses to established middle-market companies, and brings the same rigor to each. Many clients have worked with him for years, calling as their businesses grow, transact, and occasionally fight. He works extensively with founder-led companies in construction and the trades, real estate development, manufacturing, hospitality, and regulated industries such as cannabis and hemp, where licensing shapes every transaction.

Matt is a Double Pioneer, earning both his undergraduate degree and his J.D. from the University of Denver. He began his career at one of Denver’s oldest law firms and joined Volant Law as a partner in 2024, where he delivers that same caliber of counsel without the overhead and inefficiency of a large firm. He is admitted in Colorado and Florida and actively represents clients in both states.

Matt grew up in South Florida, and his practice keeps him connected to home. An avid saltwater and freshwater angler, he keeps a boat in South Florida and fishes offshore whenever work allows. Above all, family comes first: when he’s not practicing, Matt is with his wife and young kids, in the mountains at Winter Park, or traveling together.
